motherboard crash

I have a mother board that died and cant get an exact replacement so I got a new one but it has a different chipset and CPU

Now windows doesn't start any more it gets to the flag on startup then keeps rebooting. bios is ok.

I tried doing an in place upgrade from booting from  the original media disk but it just tells me that this needs to done from within windows which wont start.

backups and system restore will not work because they only have the old mainboard.

is there any way to get windows to start using the original media disk or any other method WITHOUT doing a clean install.

Is there a way to get windows to do an upgrade from booting from a media disk, without having windows started

There is too much on the pc I CANT spend 3-4 days sorting it out after a clean install

I do have a genuine license key
